(j) ERISA. (i) Promptly upon an Authorized Officer of Company becoming aware of the occurrence of or forthcoming occurrence of any ERISA Event, a written notice specifying the nature thereof, what action Seller, Parent, any of its Subsidiaries or any of their respective ERISA Affiliates has taken, is taking or proposes to take with respect thereto and, when known, any action taken or threatened by the Internal Revenue Service, the Department of Labor or the PBGC with respect thereto; and (ii) with reasonable promptness, copies of (1) each Agenda SB (Actuarial Information) to the annual report (Form 5500 Series) filed by Seller, any of its Subsidiaries or any of their respective ERISA Affiliates with the Internal Revenue Service with respect to each affected Pension Plan; (2) all notices received by Parent, Seller, any of its Subsidiaries or any of their respective ERISA Affiliates from a Multiemployer Plan sponsor concerning an ERISA Event; and (3) copies of such other documents or governmental reports or filings relating to any affected Employee Benefit Plan of Parent, Seller or any of its Subsidiaries thereof, or, with respect to any affected Pension Plan or affected Multiemployer Plan, any of their respective ERISA Affiliates (with respect to an affected Multiemployer Plan, to the extent that Seller or the Subsidiary or ERISA Affiliate, as applicable, has rights to access such documents, reports or filings), as the Administrative Agent or Lender shall helpful hints reasonably request;
(k) Notice from Change in Board of Directors. Subject to Section 6.14, with reasonable promptness, and in any event within five (5) Business Days, written notice to each Lender and the Administrative Agent of any change in the board of directors (or similar governing body) of the Parent;
